Terms of service

OVERVIEW
Welcome to BSRdirect. BSRdirect is the trading name of BSR Direct Limited, a company registered in England and Wales (company number 17474159) with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ. In these Terms, “we”, “us” and “our” mean BSR Direct Limited. We operate this website and online store, including all related information, content, features, tools, products and services (the “Services”), to give you, the customer, a curated shopping experience. The Services are powered by Shopify, which enables us to provide them to you.
These terms and conditions, together with the policies referred to in them (the “Terms”), describe your rights and responsibilities when you use the Services. Please read them carefully, as they include important information about your legal rights.
By using our Services or placing an order, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services. Nothing in these Terms affects your statutory rights as a consumer.

SECTION 1 - ACCESS AND ACCOUNT
You must be at least 18 years old to place an order. If you allow a child to use the Services on a device you own or manage, you are responsible for their use.
To use the Services, including to browse or buy from our store, you may be asked to give us information such as your email address and your billing, payment and delivery details. You must make sure the information you give us is correct, current and complete.
You are responsible for keeping your account details secure and for all activity on your account. You may not transfer, sell or license your account to anyone else.

SECTION 2 - OUR PRODUCTS
We take care to describe our products and show them accurately. Colours and appearance may differ slightly from what you see on your screen because of your device and its settings.
Our goods will be as described, of satisfactory quality and fit for their purpose, as the law requires (see Section 17). Every product is covered by the manufacturer’s standard warranty only; we do not offer an extra warranty of our own. This does not affect your legal rights.
We may change product descriptions, stop selling a product, or limit the quantity of a product available to any one customer. Changes will not affect orders we have already accepted.

SECTION 3 - ORDERS AND YOUR CONTRACT WITH US
When you place an order you are making an offer to buy. After you order, we will email you to acknowledge it. That email is not an acceptance of your order. We accept your order, and a binding contract is formed, when we email you to confirm that your goods have been dispatched.
We may decline an order, for example if the product is unavailable, if there is an error in the price or product information (see Section 13), if we cannot deliver to your address, or if we reasonably suspect fraud. If we decline an order, or cannot supply the goods after you have ordered, we will tell you promptly and refund anything you have paid within 14 days.
Cancellations and returns are dealt with in Section 4 and in our Refund Policy.
By ordering, you confirm that you are buying for your own personal or household use and not for resale or export.

SECTION 4 - CANCELLING AND RETURNING GOODS
If you are a consumer, you have a legal right to cancel your order within 14 days after the day you receive the goods, without giving a reason, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. We give you longer than the law requires: you can cancel at any time before delivery and for 30 days after delivery.
How to cancel, who pays for returns, the condition the goods must be in, and how and when we refund you are set out in our Refund Policy, which forms part of these Terms. A few items cannot be returned if you have simply changed your mind, such as personal care and hygiene items once the hygiene seal has been broken; these are listed in the Refund Policy.
This section does not affect your rights if goods are faulty, damaged or not as described (see Section 17).

SECTION 5 - PRICES AND PAYMENT
All prices are in pounds sterling (GBP). The price you pay is the price shown when you place your order and set out in your order confirmation email. Delivery within our delivery area is free, so the price shown at checkout is the total you pay.
Prices and promotions may change at any time, but a change will not affect an order that has already been placed (subject to Section 13). Prices on our site may differ from prices in other shops or on other websites. Promotions may have their own terms; if a promotion’s terms conflict with these Terms, the promotion’s terms apply to that promotion.
Payment is taken when you place your order, using the payment methods offered at checkout. You must be authorised to use the payment method you choose, and the details you give must be accurate.

SECTION 6 - DELIVERY
We deliver to UK mainland addresses within the delivery area described in our Shipping Policy, using our own delivery drivers. We aim to deliver within 1-2 working days of your order; large appliances may need a scheduled delivery slot. Delivery times are our estimates. If we do not deliver on time, you may be entitled to cancel and receive a refund under the Consumer Rights Act 2015.
Risk of loss or damage passes to you when the goods are delivered to you, and ownership passes to you when we have received full payment. Please check your goods when they arrive and tell us promptly about any damage. Nothing in this section affects your statutory rights.

SECTION 7 - INTELLECTUAL PROPERTY
The Services, including text, images, graphics, product information, reviews, video and audio, and the way they are designed, selected and arranged, are owned by BSR Direct Limited, its affiliates or its licensors and are protected by copyright, database rights and other intellectual property laws of the United Kingdom and other countries.
You may use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store or transmit any material on the Services without our written permission, except as the law allows. Unauthorised use may break intellectual property laws.
The BSRdirect name, logo and designs belong to BSR Direct Limited and must not be used without our written permission. Shopify’s name, logo, product and service names, designs and slogans belong to Shopify. All other names, logos, product names, brands and slogans on the Services belong to their respective owners, and their appearance on our site does not mean those owners endorse us or are connected with us.

SECTION 8 - OPTIONAL TOOLS
We may give you access to tools provided by third parties as part of the Services. We do not monitor or control them. As far as the law allows, they are provided “as is” and “as available”, and we are not responsible for them. This does not limit our responsibility for goods you buy from us or affect your statutory rights. Please check the terms of any third-party tool before you use it.
New features that we add to the Services, including new tools and resources, are also covered by these Terms.

SECTION 9 - THIRD-PARTY LINKS
The Services may contain links to websites run by other people, including embedded third-party features. We are not responsible for the content or accuracy of those websites, and you use them at your own risk. Please read a third party’s policies before you deal with them. Complaints and questions about third-party products and services should go to that third party. This does not limit our responsibility for goods you buy from us.

SECTION 10 - RELATIONSHIP WITH SHOPIFY
BSRdirect is powered by Shopify, but any purchase you make in our store is a contract with BSR Direct Limited. Shopify is not a party to your contract with us and is not responsible for the goods or for how we perform the contract. Nothing in this section limits your statutory rights against us.

SECTION 11 - PRIVACY
All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify’s Privacy Policy. By using the Services, you acknowledge that you have read these policies.
Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services for you. Information you submit may be transmitted to and shared with Shopify and with other third parties, which may be in other countries. Please read our Privacy Policy for more details on how we, Shopify and our partners use your personal information.

SECTION 12 - FEEDBACK
If you send us ideas, suggestions, reviews or other content (“Feedback”), you give us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display it in any medium, including to operate, improve and promote the Services. You confirm that you own or have the right to share your Feedback, that it does not infringe anyone’s rights, that it does not contain anything unlawful, abusive, defamatory or obscene, and that it does not contain any virus or other malicious code. You must not use a false email address or pretend to be someone else.
We may, but do not have to, monitor, edit or remove Feedback that we reasonably believe is unlawful, offensive or breaks these Terms. We are not responsible for Feedback posted by you or by anyone else.

SECTION 13 - ERRORS, INACCURACIES AND OMISSIONS
Occasionally the Services may contain errors, inaccuracies or omissions in product descriptions, prices, offers, delivery information or availability. We may correct these at any time. If we find an error in the price or product information after you have ordered but before we dispatch, we will contact you. You can then choose to go ahead on the corrected information or to cancel the order for a full refund. This does not affect your rights under Section 4.

SECTION 14 - PROHIBITED USES
You may use the Services for lawful purposes only. You may not access or use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to break any applicable law or regulation; (c) to infringe our intellectual property rights or the intellectual property rights of others; (d) to harass, abuse, insult, harm, defame, intimidate or threaten our staff or any other person; (e) to transmit false or misleading information; (f) to send, knowingly receive, upload, download, use or re-use any material that does not comply with these Terms; (g) to send, or arrange the sending of, advertising or promotional material, including “junk mail”, “chain letters” or “spam”; (h) to impersonate or try to impersonate any other person or organisation; or (i) to engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or that may harm BSR Direct Limited, Shopify or users of the Services.
In addition, you agree not to: (a) upload or transmit viruses or any other malicious code; (b) reproduce, duplicate, copy, extract, sell, resell or exploit any part of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm or pretext the Services; (e) use any robot, spider, scraper, data-gathering or extraction tool, automatic device or process, AI tool (such as agentic AI) or automated or manual means to access the Services in breach of Section 15; or (f) interfere with, bypass or circumvent the security or authorisation features, robot exclusion headers or other measures we use to restrict access to the Services. We may suspend or end your access to the Services if you break these Terms.

SECTION 15 - AGENTS
15.1 This section (“Agent Terms”) applies if you use, allow, enable or cause the deployment of an Agent to access, use or interact with any of the Services. “Agent” means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or organisation and that can be run on behalf of or using a person’s device without direct supervision.
15.2 No Agent may access, use or interact with the Services unless, at all times, it identifies itself and operates in strict accordance with section 15.4. In addition, no Agent may access, use or interact with the Services if we have asked the Agent not to.
15.3 We may limit, including by technical measures, whether and how any Agent accesses, uses and interacts with the Services.
15.4 Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent by including the following in the request’s user agent string: “Agent/[agent name]”; (ii) not conceal or obfuscate that any access, use or interaction is from an Agent, such as by (a) mimicking human behaviour and interaction patterns, or (b) completing or circumventing CAPTCHAs or measures intended to distinguish computer use from human use; (iii) respond truthfully to any question or prompt seeking to determine whether interactions are coming from a human or a computer; and (iv) not circumvent or otherwise avoid any measure intended to block, limit, modify or control whether and how Agents access, use or interact with the Services.

SECTION 16 - SUSPENSION AND TERMINATION
We may suspend or end your access to the Services, or close your account, if you break these Terms or misuse the Services. This will not affect orders we have already accepted or any rights you have already built up. The following sections continue to apply after termination: Intellectual Property, Feedback, Our Liability, Governing Law, and any other provisions that by their nature should continue.

SECTION 17 - YOUR STATUTORY RIGHTS AND WARRANTIES
Under the Consumer Rights Act 2015, the goods we sell to you must be as described, of satisfactory quality, fit for their purpose, and consistent with the information we gave you before you ordered. If they are not, you may be entitled to a refund, repair, replacement or price reduction, depending on the circumstances and how long you have had the goods. In broad terms: if a fault is confirmed within 30 days of delivery, you can reject the goods for a full refund, or ask for a repair or replacement instead; after 30 days and up to 6 months, we will repair or replace the goods, and if that is not possible you may keep them and receive a price reduction or return them for a full refund; after 6 months, you may need to show that the fault was there when the goods were delivered. Our Refund Policy explains how to tell us about a problem. We cover the cost of returning faulty goods.
Every product is covered by the manufacturer’s standard warranty only. We do not give any additional or extended warranty. The manufacturer’s warranty is separate from, and does not limit, your legal rights against us.
The information on the Services is provided for general information. We try to keep it accurate and up to date but do not promise that it is complete.

SECTION 18 - OUR LIABILITY
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for breach of your legal rights as a consumer, or for anything else that the law does not allow us to limit or exclude.
Subject to that, if we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach, but we are not responsible for loss or damage that is not foreseeable. Loss or damage is foreseeable if it is an obvious consequence of our breach, or if you and we both knew it might happen when you placed your order.
Because you are buying for personal use, we are not responsible for any loss of profit, loss of business, business interruption or loss of business opportunity. We take reasonable care to keep the website available, but we do not promise that it will be uninterrupted or error-free, and we are not responsible for loss caused by third-party tools or websites.

SECTION 19 - EVENTS OUTSIDE OUR CONTROL
We are not liable for any delay or failure to meet our obligations caused by events outside our reasonable control, such as severe weather, strikes, supplier or transport disruption, or power or network failure. If this affects your order, we will contact you and do what we reasonably can to limit the effect. If the delay goes on for a long time, you may cancel the affected order and receive a refund of what you have paid for it.

SECTION 20 - SEVERABILITY
If any part of these Terms is found to be unlawful, void or unenforceable, that part will be enforced to the fullest extent the law allows, and the rest of the Terms will not be affected.

SECTION 21 - WAIVER AND ENTIRE AGREEMENT
If we do not enforce a right or provision straight away, that does not mean we have given it up. These Terms and the policies referred to in them are the entire agreement between you and us about your use of the Services and your orders, and replace any earlier agreements, communications and proposals about the same subject. Nothing in this section limits liability for fraud or affects your statutory rights.

SECTION 22 - ASSIGNMENT
You may not transfer your rights or obligations under these Terms to anyone else without our written consent. We may transfer our rights and obligations to another organisation. We will tell you if we do, and it will not affect your rights.

SECTION 23 - GOVERNING LAW AND COMPLAINTS
These Terms, and any separate agreements under which we provide you with Services, are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms is subject to the jurisdiction of the courts of England and Wales, except that if you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in the courts of that country. Nothing in these Terms affects your statutory rights as a consumer.
If you have a complaint, please contact us first at support@bsrdirect.co.uk or on 020 3727 6490 (Monday to Friday, 9am-5pm) and we will try to resolve it promptly.

SECTION 24 - HEADINGS
The headings in these Terms are for convenience only and do not limit or affect their meaning.

SECTION 25 - CHANGES TO THESE TERMS
You can review the most current version of these Terms at any time on this page. We may update them from time to time by posting the new version on our website. The Terms in force when you place an order apply to that order. If you keep using the Services after we post changes, you accept the updated Terms for your future use.
